These Terms of Service (“Terms”) govern your use of Runway, GrtLabs’ free, read-only inventory and reorder reporting applications for BigCommerce and Shopify (the “Apps”). By installing or using an App, you agree to these Terms. If you do not agree, do not use the Apps.

The service

Runway provides read-only reports: product and SKU listings, inventory by location, estimated days of cover, and related CSV exports. The Apps do not modify your products, inventory, orders, or prices. Features depend on the permissions you grant and on platform APIs (for example, Shopify sales reports may require Shopify approvals).

The Apps are provided free of charge. We may change pricing or features in the future with notice as required by applicable law and platform rules.

Eligibility

You must be authorized to act on behalf of the store you connect. You must comply with BigCommerce’s or Shopify’s terms, policies, and API rules, as applicable.

Acceptable use

You agree not to:

• Use the Apps for any unlawful purpose
• Attempt to bypass security, access another merchant’s data, or abuse platform APIs
• Reverse engineer or resell the Apps except as permitted by law
• Use the Apps in a way that could harm GrtLabs, Railway, BigCommerce, Shopify, or other users

We may suspend or terminate access if we reasonably believe you violated these Terms or put the service at risk.

Disclaimers

THE APPS AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, GRTLABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Inventory and sales calculations depend on data from your platform and on formulas in our software. Days of cover and reorder suggestions are estimates, not professional advice. You are responsible for purchasing, stocking, and business decisions.

We do not guarantee uninterrupted or error-free operation, or that reports will match your platform in every case (including API limits, missing SKUs, or delayed platform data).

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRTLABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APPS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APPS OR THESE TERMS IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

Indemnity

You will defend and indemnify GrtLabs against claims arising from your store content, your use of the Apps in violation of these Terms or platform rules, or your violation of law, except to the extent caused by our gross negligence or willful misconduct.

Termination

You may stop using the Apps at any time by uninstalling them from your BigCommerce or Shopify store. We may discontinue the Apps or your access with notice when reasonable.

Third-party platforms

BigCommerce and Shopify are independent third parties. We are not responsible for their services, outages, or policy changes. Your use of their platforms remains subject to their agreements.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You agree that exclusive venue for any dispute arising out of these Terms or the Apps lies in the state or federal courts located in Harris County (Houston), Texas, and you consent to personal jurisdiction there.

Changes

We may update these Terms. We will post the updated version at https://runway.grtlabs.com/terms and update the effective date at the top. Continued use after changes become effective constitutes acceptance, to the extent allowed by law.
